Exxit - Terms And Conditions

These Terms and Conditions ("Terms") govern the use of our services, and by engaging with Exxit ("Client," "you," or "your"), you agree to comply with and be bound by the following terms. 1. Scope of Services

These services are exclusively available to businesses that are planning to sell or transition ownership.


2. Eligibility


To engage with Exxit, you must meet the following criteria:


You are a business owner planning to sell your business. You have the legal authority to make decisions regarding the sale of your business. You comply with all applicable laws and regulations related to the sale of your business.


3. Account Setup


Upon agreeing to work with Exxit, we will assist in setting up and optimizing the necessary accounts and documentation to facilitate the sale process. You agree to provide accurate and truthful information regarding your business, including financial data, operational details, and any other relevant information for the purposes of maximizing its value.


4. Service Fees


Consulting Fees: Exxit charges a service fee for the advisory services provided. The exact fee structure will be outlined in a separate Service Agreement and may vary based on the complexity and scale of the services provided.

5. Payment Terms


Payment for our services is due according to the terms outlined in the Service Agreement. Unless otherwise agreed, payments for ongoing services are billed monthly or at specific project milestones. Accepted payment methods include credit card, ACH transfer, or wire.


6. Client Responsibilities


Information Access: You are responsible for providing Exxit with accurate and complete access to all relevant information about your business to facilitate the advisory process.Compliance: You agree to comply with all applicable laws, regulations, and ethical standards in relation to the sale of your business.Content and Documents: You are responsible for ensuring that any materials or documentation provided to Exxit does not infringe on third-party intellectual property rights.


7. Campaign Management and Performance


Exxit will provide expert guidance and assistance in maximizing the value of your business before a sale. However, we cannot guarantee specific results, such as the sale price or timeline, as these depend on various external factors beyond our control. We will provide regular updates and recommendations on strategies to improve the value of your business.


8. Confidentiality


Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement. This includes, but is not limited to, business strategies, financial information, and transaction details. This confidentiality obligation remains in effect even after the termination of this agreement.


9. Intellectual Property


Client's Materials: You retain ownership of all materials and intellectual property provided to us, including financial reports, business plans, and any proprietary business information.Exxit's Materials: Exxit retains ownership of any proprietary tools, methodologies, or materials developed for business valuation, market analysis, or transaction management.


10. Limitation of Liability


Exxit will use commercially reasonable efforts to provide high-quality services. However, we are not liable for:


Any loss of revenue, market opportunities, or outcomes related to the sale of your business.Errors or omissions in the advice, reports, or strategies provided, resulting from third-party actions or systems outside our control.Any disruptions or unforeseen market conditions that may impact the sale process.


11. Term and Termination


Term: The agreement will begin on the date of engagement and will continue until terminated by either party.Termination by Client: You may terminate the agreement at any time by providing written notice. Any outstanding payments for services rendered up to the termination date will remain due. Termination by Exxit: Exxit reserves the right to terminate the agreement if the client fails to meet agreed terms, violates policies, or does not pay for services rendered.Effect of Termination: Upon termination, Exxit will cease all advisory services, and any remaining outstanding fees must be settled.


12. Indemnification


You agree to indemnify and hold Exxit, its affiliates, employees, and agents harmless from any claims, damages, losses, or liabilities arising from your use of our services, your violation of any laws, or third-party claims related to the sale of your business.


13. Changes to Terms


Exxit reserves the right to modify these Terms at any time. Any changes will be communicated through the website or other appropriate means. The modified Terms will take effect as soon as they are posted, and continued use of our services will signify your acceptance of the updated Terms.


14. Governing Law and Dispute Resolution


These Terms and any disputes related to the services will be governed by the laws of [your jurisdiction]. Any disputes will be resolved through mediation or arbitration, as agreed by both parties, before resorting to litigation.


15. Miscellaneous
